Definitions

Company:
Refers to Corum Security, the provider of security services.
Client:
Refers to the party hiring the Company to provide security services.
Event:
Any occasion or gathering organized by the Client, where the Company is hired to provide security personnel or services.
Security Personnel:
Static guards, parking attendants, or any other personnel provided by the Company.
Scope of Services
The Company agrees to provide security services, including but not limited to:

Static guards for day and night shifts.

Parking attendants for managing vehicle flow and parking at events.

Access control services (e.g., visitor checks, patrolling).

Monitoring CCTV and ensuring site security.
-
Traffic management if required.
The specific services required will be outlined in an accompanying service agreement or proposal. The company does not offer or take responsibility for venue-related requirements in terms of spacing,
Client Responsibilities
The Client agrees to:

Provide all necessary information regarding the event, including expected attendance, event layout, and high-risk areas.

Ensure event and / or the venue is compliant with standard Occupational Health and Safety Standards, certifications and meet event legal requirements.

Ensure security personnel have access to the necessary locations and facilities to perform their duties.

Clearly communicate any additional or specialized requirements before the event.

Pay the agreed service fees in accordance with the payment terms.
Liability and Insurance
Company’s Liability:
The Company will take reasonable care to perform the services with due diligence but will not be liable for any:
-
Loss or damage to property unless caused by gross negligence or willful misconduct of the security personnel.

Personal injury or death unless directly caused by the negligence of the Company.
Client’s Liability:
-
The Client is responsible for any damages to the Company’s equipment or injury to security personnel caused by event attendees or third parties.
Insurance:
-
Both parties agree to carry appropriate insurance:
-
The Company shall maintain public liability insurance to cover accidental injury or damage caused by its personnel.

The Client should have event insurance to cover property damage, theft, and any third-party claims.
Indemnity
-
The Client agrees to indemnify and hold harmless the Company, its employees, and agents from any and all claims, actions, damages, and expenses arising out of the event, except those caused by the Company’s gross negligence or willful misconduct.
Force Majeure

The Company shall not be liable for any failure to provide services due to circumstances beyond its control, including but not limited to:
-
Natural disasters.
-
Government restrictions.
-
Strikes, lockouts, or industrial action.
-
Acts of terrorism, civil unrest, or war.

Termination
-
Either party may terminate the contract under the following conditions:
-
By mutual agreement.
-
If either party breaches the terms of the agreement and fails to remedy the breach within a reasonable time after receiving written notice.

If the Client fails to pay for services provided within the agreed payment terms.
-
The Company may terminate services if it reasonably believes the safety of its personnel is compromised.
Payment Terms
-
A 50% deposit of the total service fee is required upon signing the agreement to secure the booking.
-
The remaining balance is due within 7 days before the event.
-
Late payments may incur a penalty fee of 5% per month.
-
Any additional hours worked by security personnel beyond the agreed time frame will be billed at an agreed-upon hourly rate.
Health and Safety
-
The Company takes health and safety seriously and will:
-
Ensure that all security personnel are trained and equipped to deal with potential risks, such as crowd control and emergency procedures.

Work in conjunction with the Client to implement safety protocols during the event.
-
The Client is responsible for ensuring that the event complies with all relevant health and safety regulations.
-
An OHS Expert can be made available upon agreement and request for any support or management of OHS related activities, compliance authorisation and applications. This support is quoted separately.
Confidentiality and Data Protection

The Company agrees to maintain the confidentiality of all sensitive information provided by the Client in relation to the event. The Company will comply with the Protection of Personal Information Act (POPIA) regarding the processing and handling of any personal data.
Dispute Resolution

In the event of a dispute between the Company and the Client, both parties agree to first attempt resolution through informal negotiation.

If the dispute cannot be resolved within 30 days, either party may escalate the issue to formal mediation or arbitration.

Both parties agree that any legal proceedings will be handled under South African law.
Amendments
-
Any changes to these terms and conditions must be agreed upon in writing by both parties.

Refund Policy for Corum Security
​
Non-Refundable Deposit
-
The 50% deposit paid upon booking is non-refundable.
-
This covers the administrative costs, staffing arrangements, and any preparatory work done by the Company.
-

The only exception to this is if the Company cancels the service due to reasons within its control (e.g., failure to provide the agreed-upon services). In such cases, the deposit will be refunded to the Client.

Refund Eligibility for Cancellations by the Client

Cancellation 14 Days or More Before the Event:
-
If the Client cancels the service at least 14 days before the event, they are eligible for a 50% refund of the total amount paid (excluding the non-refundable deposit).

Cancellation Less than 14 Days Before the Event:
-
If the Client cancels the service within 14 days of the event, no refund will be issued. This is due to the commitment of security personnel and resources by the Company.

Force Majeure or Unforeseen Circumstances
-
If the event is canceled due to force majeure or other unforeseen circumstances beyond the Client’s control (e.g., extreme weather, government restrictions), the Client may choose to:

Reschedule the service to a future date without losing the deposit, subject to availability.
-
If rescheduling is not possible, the Company will issue a refund of 50% of the total payment, excluding the non-refundable deposit.

Partial Refund for Reduced Services

If the Client requests a reduction in the scope of services after the contract is signed, the Company will evaluate the impact on its staffing and resource allocation. Any potential refund for unused services will be at the Company’s discretion and based on how far in advance the reduction is requested.
Service Guarantee

If the Company fails to provide the agreed-upon services (e.g., staff not showing up), the Client may be eligible for a partial or full refund, depending on the extent of the failure. Any refunds in this case will be calculated based on the services that were not rendered.
Disputes on Refunds

In the event of a dispute over a refund, the Client and the Company agree to attempt an amicable resolution. If the issue remains unresolved, the dispute may be handled through the dispute resolution process outlined in the contract.
Venue Conditions and Limitations of Liability
The Company’s responsibility is limited to providing security services based on the specifications and conditions made available by the Client or venue. The Company cannot be held liable for any issues arising from the size, layout, or suitability of the venue, including but not limited to:

Parking Areas: The Company will provide parking attendants and traffic management services based on the available parking space and infrastructure as specified by the Client or venue. The Company is not responsible for any issues arising from insufficient parking space, poor venue design, or overcrowding beyond the Company’s control.

Event Size vs. Space Constraints: The Company will deploy security personnel in accordance with the number of spectators, guests, or attendees as provided by the Client. However, the Company will not be held liable for any safety concerns, overcrowding, or incidents that occur due to inadequate venue size, poor planning, or insufficient facilities.

Traffic and Access Management: The Company can only assist with traffic management and crowd control within the limitations of the venue’s infrastructure (e.g., entrances, exits, and road access). Any traffic delays or accidents caused by factors outside the Company’s control, such as venue capacity, public road access, or external disruptions, are not the responsibility of the Company.

Third-Party Failures: The Company is not responsible for the failure of third-party services or infrastructure (e.g., venue management, local authorities, public transport) that may impact the safety, security, or smooth operation of the event.
The Company will use its best efforts to provide security and traffic management services within the confines of the venue specifications, but cannot be held liable for circumstances beyond its control or for factors related to the venue's design, layout, or capacity.
Personal Property and Theft
The Company will make every reasonable effort to provide security services at the event, including the protection of persons and property, but cannot be held liable for the theft, loss, or damage of personal items belonging to spectators, vendors, suppliers, or any other third parties attending the event.

Responsibility for Personal Items:

Attendees, vendors, suppliers, and all other event participants are responsible for the safekeeping of their own personal property. The Company advises all parties to take necessary precautions, such as securing valuable items and using designated storage areas if available.

Theft or Damage:

In the event of theft, loss, or damage to personal property, the Company will:
-
Conduct a full internal investigation into the incident.
-
Cooperate fully with local law enforcement authorities in any subsequent investigation.
-
Provide incident reports and assist with gathering relevant information to aid the Client or affected parties.

Liability Exclusion:

The Company is not liable for any claims related to the loss, theft, or damage of personal property, including but not limited to:
-
Items left unattended in public or unsecured areas.
-
Goods or materials stored by vendors or suppliers in non-designated or unsecured locations.
-
Personal belongings of spectators, including but not limited to wallets, phones, bags, and vehicles parked at the venue.

It is the responsibility of the Client to inform all event participants to exercise caution and safeguard their belongings. The Company strongly recommends that vendors and suppliers obtain their own insurance for goods and equipment
